Please note that you should not construe any information or other material contained herein or on our website as legal, tax, investment, financial, or other advice. Nothing contained on our website constitutes a solicitation, recommendation, endorsement, or offer by IDZ or any third party service provider to buy or sell any securities or other financial instruments in this or in any other jurisdiction.

This is an agreement between you and IDZ LTD, a company registered in England with registration number 10737703 with its registered office at Kemp House, 160 City Road, London, United Kingdom, EC1V 2NX (with its Affiliates, “IDZ,” “we,” “us,” or “our“). The use of IDZ products and/or services will be subject to ‘Terms of Use,’ ‘Licence and Warranty Agreement’; other applicable terms are our Privacy Statement which help you to understand how we collect and process your personal information.

These terms and conditions of sale (“Terms of Sale“) apply to any purchase and use thereof made by an end user customer on https://idz.com or on the OpenSea and Rarible platforms. In addition, any purchase and use is also subject to our Terms of Use, License and Warranty Agreement and our  Privacy policy, as well as, where applicable, terms of service available on the OpenSea and Rarible websites. By placing an order you agree to be bound by these Terms of Sale, our Privacy Policy, the Terms of Use, License and Warranty Agreement and OpenSea’s and/or Rarible’s terms of service.

Requirements to purchase

In order to place a valid order, you must meet the following requirements:

  1. You are 18 years of age or older and if you are ordering on behalf of a company you are authorised to conclude contracts on behalf of this company;
  2. You are an end user; and
  3. You guarantee that the information you provide to IDZ or to OpenSea or Rarible in the order is accurate and complete.

01 Watch

How to order your 01 Watch?

You can order the 01 Watch by going to the IDZ online store on the Website and add any items you wish to purchase to your shopping basket. Once you have clicked “checkout now” fill in the requested information. Once you click on ‘place your order’, your order is final. This means you will have to pay the purchase price. Once you have placed your order, you will receive an order confirmation by email. We will process your order as soon as we have received confirmation of your payment.

12 months free upgrade of your ZCloud storage

Each 01 Watch purchased via https://idz.com comes with 12 months free tier 2 ZCloud storage (10GB), worth USD$72. In order to receive the free upgrade, simply add the 01 Watch to your account using the ZCloud app. The upgrade will be automatically applied to your account. You will receive an additional 12 months tier 2 storage for each 01 Watch added to your account.

To avoid reverting to the default ZCloud tier (1GB), you should ensure that you have set up a ZCloud storage subscription via https://idz.com prior to the expiration of the free 12 month period.

Non acceptance or cancellation of your order

Either party may cancel an order at any time for any or no reason prior to our notice to you that the 01 Watch has been despatched (‘Despatch Notice’). If cancellation occurs before the Despatch Notice, you will be entitled to a full refund of your order payment.

If any of the following scenarios should arise, IDZ may choose to cancel your order and refund your payment:

  1. You are not meeting the requirements for sale;
  2. IDZ is unable to obtain authorization of your payment;
  3. Products shown on the Website contain a manifest error, such as being incorrectly priced or otherwise incorrectly described;
  4. Other special circumstances that justify cancellation of the order, including but not limited to the misuse of a discount code and/or suspicion of fraud.
Payment options and taxes

We offer various ways for you to pay for your order: credit or debit card in GBP, USD, EUR and most international currencies. Other currencies and crypto-currencies may be acceptable upon request to [email protected]. If paying in a currency other than USD, you will be charged the exchange rate valid at the date of order.

The purchase price includes value added tax (‘VAT’), which is charged in accordance with local legislation in each country. Your final price will reflect the correct VAT rate for the destination country of your order. If you are a company, you represent that your VAT registration number and all other information provided by you is true, accurate and up-to-date and you will immediately update any such information held by IDZ in the event of any change. We reserve the right to charge you any applicable unbilled VAT if you provide a VAT registration number that is determined to be invalid, not in accordance with your business details, or that the tax authorities have deemed not to be related to the account holder.A VAT invoice will be sent to the email address you provided after your order has been placed. This invoice should be used for all VAT refund and reporting purposes. The invoice will include the IDZ VAT Registration Number.

We will send you a shipping confirmation and tracking code as soon as we have shipped your Order.

Shipping is free of charge. Our shipping partner may send you an email offering more detailed delivery services.

Note that:

  • It is not possible to deliver to freight forwarders, hotels, PO Boxes or army BFPO.
  • If your order is subject to review due to a suspicion of fraud, delivery may be delayed and/or cancelled.
Our returns policy / Your right to withdraw the purchase of 01 Watch

We are confident that you will be satisfied with your new 01 Watch, however, if you are unsatisfied for any reason, simply let us know within 14 (fourteen) calendar days from the date of the Despatch Notice and send it to us for a refund.

Refunds in the case of rejection of order, cancellation or your withdrawal from the order will be of the same purchase price in the same currency in which you paid for the order.

In order to return your 01 Watch under the above returns policy, please ensure that the 01 Watch is returned in the original IDZ packaging, with all contents and packaging materials included, and in new or as-new condition.

A defective 01 Watch? This is covered by IDZ Warranty.

We stand for the quality of our IDZ 01 Watch. We offer a warranty on all electronic items sold. The details of this warranty are set out in our Terms and Conditions. A summary of the conditions of the IDZ Warranty is set out below. In the event that there is any conflict between this summary and the Terms and Conditions, the Terms and Conditions will control.

Your local consumer protection laws may provide additional rules on warranty. The IDZ Warranty does not in any way restrict the rights that you may have under such rules.

The IDZ Warranty covers defects in materials and workmanship in every 01 Watch. The IDZ Warranty does not guarantee that the 01 Watch will at all times operate without interruption or will be error-free, or that all errors may be corrected.

If you have a valid claim under the IDZ Warranty and have returned the 01 Watch in accordance with our instructions, we will repair or replace the defective product free of charge.

If we determine that the problem is not covered under the IDZ Warranty, we will notify you and inform you of replacement alternatives that are available to you for an additional fee.

The warranty period is not extended if we repair or replace your 01 Watch.

Your IDZ Warranty is transferable with ownership, so if you give or sell your 01 Watch to someone during the warranty period, it’s still covered.

There are some exclusions to the IDZ Warranty, including but not limited to:

  • Problems that result from external causes such as accident, abuse or misuse;
  • Liquid damage that is outside of 01 Watch specification
  • Use that is not in accordance with IDZ’s product instructions;
  • Products with missing or altered serial numbers;
  • Products which have had their housings opened or are otherwise tampered with; or
  • Problems caused by using third party accessories, parts, or components.
  • Problems caused by changes to 01 Watch components


  1. You may have access to a free trial period or discount in accordance with certain promotional offers.

  2. You can purchase a ZCloud subscription by logging in to the IDZ website using your ZCloud ID and authenticating with the ZCloud app.

  3. Subscriptions are purchased on a recurring monthly or annual payment basis.

  4. You will be charged to your original payment method in the amount of the then current monthly or annual subscription fee no earlier than 24 hours prior to the end of the current subscription period. The renewal subscription fee will continue to be billed to the original payment method until cancelled.

  5. You may cancel automatic renewals of your subscription at any time from the IDZ website. You must cancel your subscription before it renews in order to avoid billing of the next month’s subscription fee. Refunds cannot be claimed for any partial subscription period. If you cancel your subscription, your account will revert to the Z.Free tier at the end of your current subscription period.

  6. You may change your subscription tier at any time from the IDZ website. When downgrading a subscription, your new subscription will be applied at the end of the current subscription period. When upgrading, the remaining balance from the current subscription will be deducted from the initial payment for the new subscription.

  7. You may change your subscription payment method at any time from the IDZ website.

  8. At all times you MUST ensure that your ZCloud storage is within the limit defined by your current tier. If you exceed this limit, then access to your account may be restricted and your storage re-allocated.

Asset 0

How to purchase Asset 0?

IDZ is currently only accepting orders for Asset 0 on the OpenSea and Rarible platforms.

NFTs can be traded via the OpenSea or Rarible NFT platforms and any transfer of ownership is subject to a 10% royalty fee due to IDZ. Asset 0 is not subject to a right of cancellation or return to IDZ. When you purchase it, it permanently mints on the blockchain and you can sell it to other users if you wish.

You will be able to convert Asset 0 NFT to Asset 0 from within the IDZ app when the capability becomes available according to the roadmap on our website.

Selling back Asset 0 after an IPO of IDZ

The ID ecosystem marks the beginning of a new internet era. Anything you own and has value can be an identity asset which you are free to evaluate as you like.

Asset 0 is the first asset in the ID ecosystem, so we thought to make it special and evaluate it differently. We decided to include our customers in our journey, and reward them by giving them access to substantial discounts on future IDZ assets.

Our goal is to make Asset 0 the status symbol of the ID ecosystem. IDZ hereby undertakes that if requested by you it will buy your Asset 0 on the condition that IDZ has completed an Initial Public Offering (‘IPO’) on a recognised stock exchange.

In the unlikely event of all of the shares in IDZ being acquired by a third party and the third party choosing to keep IDZ private, then the completion of an Initial Public Offering condition will be waived, and the third party will honour the buy-back agreement according to the same formula set out above.

A monthly active user is defined as either

  • an ID that has performed at least one action using that ID within a period of one calendar month; or
  • any one ID that upgraded the ZCLOUD connected to it (i.e. a paid ID).

This monthly active user number will be visible under ‘Key Value Pair’ under the ID section.

IDZ will pay the value to the ID that owns Asset 0. Payment will be made in ZASSET, which is the currency of IDZ. Other currencies may be accepted at IDZ’s sole discretion.

Referral Programme

Taking part in our referral reward programme for 01 Watch

We use rewardful.com as our referral rewards partner. IDZ Ambassadors can join the Rewardful programme and earn a 15% reward onf gross sales of 01 Watch introduced to us exclusively by the Affiliate.

Only IDZ Ambassadors are eligible to join the programme. You must hold at least one Asset 0 and have access to IDZ Discord to be able to participate. Upon a successful referral that ends up with a sale, IDZ to pay out the Affiliate 15% of the gross sale amount after 60 days of the sale. We reserve the right to extend the pay-out period to be after 14 days from the day the customer receives their 01 Watch.

Affiliates can use the IDZ brand and logo when approaching customer, subject to our right to withdraw consent at any time. We reserve the right to expel an Affiliate from the programme for reasons relating fraud, crimes, regulatory offences, indecency in advertising, breaches of public morality, deleterious or disparaging remarks, abuse, gaming, or attempting to mislead (i.e. posting fake discounts to coupon-sharing websites). We reserve the right to change the commission policies and withdraw the programme without prior notice.

Any offering of IDZ’s products or services by the Affiliate must include the customer’s agreement to these Terms and Conditions prior to the completion of the transaction. All sales shall be between IDZ and the customer introduced by the Affiliate. Affiliate is an independent contractor and has no right to enter into agreements with customers on IDZ’s behalf.

Payment Terms. Affiliate can earn a referral fee of fifteen percent (15%) (the “Referral Fee”) of Gross Revenues for sales of IDZ’s 01 Watch within sixty (60) days of a customer introduced by the Affiliate placing an order and making payment (a “Referral”) as evidenced by IDZ’s written records. If the sale is refunded or cancelled during the sixty (60) days period for any reason, the Referral Fee is deemed cancelled and the Affiliate is not entitled to any reward. In order to qualify for a Referral Fee, Referrals must be initiated, tracked and documented by Rewardful using Rewardful’s tracking codes. IDZ shall make all Referral Fee payments due to Affiliate through Rewardful, by the 21st day of the month following the date such Referral Fees have accrued. No Referral Fee will be due for IDZ products or services purchased by customers other than as tracked and documented through Rewardful. The parties agree to maintain records of all IDZ products and services purchased after Affiliate promotion through Rewardful. IDZ is not responsible for any taxes or fees owed to Rewardful by Affiliate, which may be deducted by Rewardful directly from payments made to Rewardful by IDZ.

Obligations of the Parties. Affiliate represents and warrants that (i) it shall comply with all applicable laws and regulations, including without limitation all applicable data protection, privacy and consumer protection laws, in its performance of its obligations under this Agreement, as well as any guidelines provided by IDZ; (ii) Affiliate has all rights necessary to promote IDZ products and services; and (iii) all statements Affiliate makes regarding IDZ’s products and services will reflect Affiliate’s true and honest experience with IDZ’s products and services. Affiliate shall not make any claim about IDZ’s products and services without prior written approval from IDZ. Affiliate shall not, at any time, directly or indirectly, make, publish or otherwise communicate through any medium any deleterious or disparaging remarks concerning IDZ, its products or services.

Expenses. Each Party will be responsible for any expenses it incurs in connection with this reward programme, including any income taxes. Indemnification; Limitation of Liability. Affiliate agrees to indemnify, defend and hold harmless IDZ from any and all claims and threatened claims, damages, liability, settlement, attorneys’ fees and expenses, by any third party, arising out of, under or in connection with: (i) any breach of these Terms and Conditions by Affiliate, or (ii) the negligence, wilful misconduct, fraud or violation of any applicable law by Affiliate. EXCEPT FOR AFFILIATE’S INDEMNIFICATION OBLIGATIONS, NEITHER PARTY WILL BE LIABLE TO THE OTHER PARTY FOR ANY AMOUNT EXCEEDING THE TOTAL OF ALL REFERRAL FEES DUE UNDER THESE TERMS AND CONDITIONS. IN NO EVENT SHALL EITHER PARTY BE LIABLE TO THE OTHER, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE) OR OTHERWISE, FOR ANY INDIRECT, INCIDENTAL OR CONSEQUENTIAL DAMAGES (INCLUDING LOST SAVINGS OR PROFIT, LOST DATA, OR BUSINESS INTERRUPTION) EVEN IF NOTIFIED IN ADVANCE OF SUCH POSSIBILITY. IN NO EVENT SHALL IDZ BE LIABLE FOR ANY ACTS OR OMISSIONS OF REWARDFUL.

Relationship. The Rewardful relationship and these Terms and Conditions do not create a joint venture, partnership, or agency relationship between the Affilate and IDZ. Affiliate has not and will not hold itself out as having the power to bind IDZ.

General Terms

Keeping the 01 Watch and its emergency pack safe and secure is your responsibility. Under no circumstances shall IDZ be liable for the loss of the 01 Watch or your login credentials to any ID or other login data.

IDZ may change these Terms of Sale at any time by posting revised terms on this Website. However, such changes will not affect the terms applicable to sales that were concluded prior to the date the revised Terms of Sale were posted. If any part of these Terms of Sale are for any reason unenforceable, that shall not affect the validity and enforceability of any of the remaining provisions of the Terms of Sale.

These Terms of Sale are subject to the law of the country where you live. If we are unable to resolve any conflict between us, you may submit it for dispute resolution via http://ec.europa.eu/consumers/odr (EU only) or to a competent court in your country of residence.
